No legal, tax or investment advice
PPM Kit is not a law firm, broker-dealer, funding portal or investment adviser. Our templates, articles, filing services and consulting are not legal, tax or investment advice, and using them doesn’t create an attorney-client or advisory relationship. You are responsible for having a qualified securities attorney review your offering documents and filings before you use them.
Templates
When you buy a kit, we grant you a limited, non-exclusive, non-transferable license to use and modify the templates for [LICENSE SCOPE, for example the offerings of the issuer named in your order]. You may share completed documents with your investors and advisers. You may not resell, sublicense or publish the templates, or use them to build a competing product.
Filing services
We prepare and file Form D and state notice filings on your behalf, using the information you give us. To file Form D, your company must have EDGAR access and authorize us to file for it. You are responsible for that information being complete and accurate, for reviewing and approving each filing before we submit it, and for paying government fees. We aren’t responsible for delays, rejections or penalties caused by inaccurate or late information, or by regulators’ systems.
Consulting services
Our Launch and Full Launch kits include business and marketing consulting. We don’t offer or sell securities, solicit or recommend investors, negotiate with investors, handle investor funds, or receive compensation based on whether or how much you raise.
Payment
Prices are listed on our pricing page and are due when you order unless we agree otherwise in writing. Government filing fees are separate. Refunds are covered by our refund policy.
Your responsibilities
You agree to comply with all securities and other laws that apply to your offering, to use the site lawfully, and not to interfere with it or misuse its content.
Intellectual property
The site, its content and the templates belong to PPM Kit or its licensors and are protected by copyright and other laws. Except for the license above, no rights are granted to you.
Disclaimers
The site, templates and services are provided “as is.” We don’t guarantee that any template fits your facts, that any filing will be accepted, that laws won’t change, or that you’ll raise any amount of money. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
Limitation of liability
To the fullest extent the law allows, PPM Kit won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or capital, and our total liability for any claim is limited to the amount you paid us for the kit or service that gave rise to it.
Indemnity
You agree to indemnify PPM Kit against claims arising from your offering, your use of the templates or services, or your breach of these terms.
Governing law
