These services are not legal advice, and PPM Kit is not a broker-dealer: we don’t sell securities or solicit investors for you, and our fees don’t depend on how much you raise. Government filing fees are separate from kit prices.
What isn’t included
Kit prices cover PPM Kit’s work. A few costs belong to other parties:
- State notice filing fees, which vary by state and sometimes by offering size
- Your attorney’s review of the completed documents
- Escrow agent, accountant, transfer agent or bank fees, if your offering uses them
The SEC charges no fee to file Form D or its amendments.
Is Form D filing included in every kit?
Yes. We file your Form D in every kit, starting with Starter. The SEC doesn’t charge a fee to file Form D.
What do Blue Sky state filings cover?
We file the notice filings with each state where you sell under Rule 506. States set their own deadlines and fees, and the fees are paid to the states. Rule 504 offerings need state registration or a state exemption, which can take more work. How state filings work.
Do Regulation S kits include Form D and Blue Sky filings?
No. Form D applies to Regulation D offerings, and Blue Sky notice filings generally don’t apply to sales made only to investors outside the United States. Have local counsel confirm what each investor’s country requires. How Regulation S works.
Which kit should I choose?
Choose Starter if you’re comfortable filling in the template yourself. Choose Launch if you want us to fill out the PPM and provide a customized onboarding package. Choose Full Launch if you’re still designing the offering itself, including fees and economics.
