Reg D PPM templates, with Form D filing included.

About us

PPM Kit is created and run by FINRA-licensed financial professionals who have worked at some of the largest institutional asset managers in the world.

Who we are

PPM Kit was created and is run by FINRA-licensed financial professionals who have worked at some of the largest institutional asset managers in the world. We’ve spent our careers in capital markets and alternative investments, on both the sponsor side and the distribution side of private offerings.

Our experience

We’ve led capital markets teams, structured and created private securities offerings, and taken offerings to market through broker-dealers, registered investment advisers and financial advisors. Our work spans Regulation D and Regulation A offerings, real estate programs, private equity, credit and other alternative investments, along with due diligence on new opportunities and financing for business owners.

Why we built PPM Kit

We’ve worked on private offerings from both sides: building the documents as a sponsor, and answering due diligence questions and presenting deals to advisors as a distributor. PPM Kit puts that experience into templates and filings, so issuers start from a complete, well-organized draft instead of a blank page and get to attorney review sooner.

What you save

Securities law firms commonly charge $12,000 to $50,000 to draft a PPM and the offering documents that go with it, and large firms often charge more. Some also bill Form D and Blue Sky filings separately. Every PPM Kit includes the PPM, the subscription documents, and Form D and Blue Sky filing for Regulation D offerings, at one flat price.

KitPPM KitTypical costYou save
Starter$399$12,000–$50,000$11,600–$49,600
Launch$1,499$15,000–$50,000$13,500–$48,500
Full Launch$2,999$50,000–$100,000$47,000–$97,000

We still recommend having a securities attorney review your completed documents. Reviewing a finished draft takes a fraction of the time that drafting from scratch does, so you keep most of the savings.

Typical costs reflect published 2026 pricing for a customized Regulation D PPM and offering documents. The Full Launch comparison also includes offering design and capital-raising consulting. Your costs will vary. State filing fees are separate.

What we do

PPM Kit makes private placement memorandum templates and the documents that go with them, then files the Form D and state notices that follow. We cover the structures most private raises use: corporations, LLCs, limited partnerships, and real estate funds and syndications, under Rules 504, 506(b) and 506(c) of Regulation D and, for investors outside the United States, Regulation S.

For sponsors who want more than documents, our Launch and Full Launch kits add customized offering documents, investor onboarding and marketing materials, offering design and capital-raising consulting.

Who uses PPM Kit

  • Founders raising a first round from people they know
  • Real estate sponsors raising for a fund or a single property
  • Fund managers organizing a limited partnership or LLC
  • Attorneys and paralegals who want a well-organized starting draft
  • CPAs, consultants and advisers who help clients raise capital

Current as of November 2026

The templates reflect Regulation D and Regulation S as they stand today, including the $10 million Rule 504 limit, the SEC staff’s March 2025 guidance on verifying accredited investors in Rule 506(c) offerings, and the 2025 federal tax changes to qualified small business stock, bonus depreciation and the Section 199A deduction.

What we’re not

Although our team is FINRA licensed, PPM Kit isn’t a law firm, a broker-dealer or an investment adviser. We don’t give legal, tax or investment advice, we don’t sell securities or find investors for you, and our fees don’t depend on how much you raise. Have a securities attorney review your completed documents before you use them.

Capital raising made easy.

Pick a template and a kit. Every kit includes the PPM, subscription agreement, investor questionnaire and state legends, and we file your Form D and Blue Sky notices.
